These Author Terms ("Terms") govern the relationship between Flance4U ("Flance4U", "we", "us", or "our") and you, the author ("Author", "you", "your"), regarding the sale of digital products such as WordPress templates, plugins, PHP scripts, and graphics on the Flance4U platform. By submitting or selling your products through Flance4U, you agree to these Terms.
2. Author Account Registration
To submit products for sale, you must create an account as an author on Flance4U. By registering, you agree to provide accurate, up-to-date, and complete information as required by Flance4U’s registration process.
- Account Information: You are responsible for maintaining the confidentiality of your account login credentials and for all activity under your account.
- Eligibility: You must be of legal age and have the authority to enter into binding contracts. By creating an account, you confirm that you meet these requirements.
3. Product Submission and Acceptance
- Product Submission: As an author, you may submit digital products for listing on Flance4U. These products must meet the Flance4U submission guidelines, including quality, compatibility, functionality, and originality standards.
- Approval Process: All submitted products will undergo a review process by Flance4U. Flance4U reserves the right to reject or remove any products that do not meet the guidelines, violate copyright laws, or are deemed inappropriate for our platform.
- Product Descriptions: You must provide accurate and complete descriptions, screenshots, and documentation for your products. Misleading or false descriptions may lead to removal from the platform and potential account suspension.
4. Licensing of Products
By submitting a product to Flance4U, you grant Flance4U a non-exclusive, royalty-free, worldwide license to sell, distribute, and promote your products on our platform. The specific license terms that apply to the use of your product by customers will be governed by the license terms you specify in the product listing.
- License Options: You must clearly define the licensing terms (e.g., personal use, commercial use, extended use) for each product submitted.
- Intellectual Property Rights: You retain ownership of the intellectual property rights to your product. However, you grant Flance4U the right to display, market, and distribute your product under the terms of this agreement.
5. Pricing and Revenue Sharing
- Pricing: You are responsible for setting the price for your products. Flance4U may provide guidelines for pricing based on market trends, but the final decision rests with you.
- Revenue Share: Flance4U operates on a revenue-sharing model. A percentage of each sale will be retained by Flance4U as commission. The percentage will be outlined during the product submission process and is subject to change.
- Payment Terms: Payments for product sales will be made to you on a regular basis, typically through bank transfer, PayPal, or another agreed-upon method. Flance4U will issue payments after deducting the applicable platform fees and commissions.
6. Product Updates and Maintenance
- Product Updates: As an author, you are responsible for providing updates and fixes to your product. If your product becomes incompatible with major WordPress updates or is reported as defective, you are expected to provide an updated version as soon as possible.
- Support: You are responsible for providing support to customers who purchase your products. Support should be provided in a professional and timely manner, following Flance4U’s support guidelines.
7. Author Obligations
- Quality Control: You agree to ensure that your products meet Flance4U’s quality standards, including ensuring they are free from malware, bugs, or errors, and function as described in the product listing.
- Copyright Compliance: You warrant that all content and code in your product is original or properly licensed. Your product must not infringe on the intellectual property rights of third parties. You must also ensure that all third-party resources used in your product are properly licensed.
- No Plagiarism: You agree not to copy, imitate, or infringe on other authors' work available on Flance4U or any other marketplace.
8. Account Suspension and Termination
- Violation of Terms: Flance4U reserves the right to suspend or terminate your author account if you breach any of these Terms, including submitting illegal or infringing content, providing false information, or failing to meet customer support obligations.
- Termination by Author: You may terminate your account at any time by notifying Flance4U. Upon termination, you must immediately stop offering products for sale, remove all related content, and cease using Flance4U’s platform.
- Refunds: If a customer requests a refund for a product, you must cooperate with Flance4U’s support team to resolve the issue. Refunds may be granted at Flance4U’s discretion.
9. Confidentiality
Both Flance4U and you, the Author, agree to keep all sensitive information, including payment details and customer data, confidential and not disclose it to any unauthorized third parties.
10. Indemnification
You agree to indemnify and hold harmless Flance4U, its affiliates, officers, employees, and agents, from and against any claims, losses, damages, liabilities, or expenses arising out of or in connection with:
- Your breach of these Terms.
- Your violation of any third-party rights (including intellectual property rights).
- Your provision of products that contain harmful content, malware, or other malicious code.
11. Limitation of Liability
Flance4U’s liability to authors is limited to the amount of commission paid to the author in connection with the sale of the relevant product(s). Flance4U is not responsible for any indirect, incidental, special, or consequential damages, including loss of revenue, arising out of or in connection with this agreement.
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Bangladesh. Any disputes arising from these Terms shall be resolved through arbitration in Dhaka, Bangladesh, in accordance with the rules of the Bangladesh International Arbitration Centre (BIAC).
13. Modifications to Author Terms
Flance4U reserves the right to modify these Author Terms at any time. Any changes will be posted on this page, and the updated Terms will take effect immediately upon posting. By continuing to sell products on Flance4U after any changes, you agree to the updated Terms.
